The VP, Legal Finance Associate General Counsel is responsible for providing leadership with respect to legal support and advice to the Company’s Corporate Finance and Treasury groups and disseminates information on trends and innovations within these specialties. This executive will contribute to the development and formulation of the overall legal strategy and policies and procedures for the Corporate Finance and Treasury areas. This position will provide advice and counsel on a broad range of legal issues to the operating executives and management in the Corporate Finance and Treasury areas.
MAJOR DUTIES AND RESPONSIBILITIES
Actively and consistently support all efforts to simplify and enhance the customer experience
Leads the legal support of financing activities, including debt offerings (senior secured, unsecured, and convertible notes), debt exchanges, securitizations, credit facilities, lines of credit and letters of credit. This will entail drafting, negotiating and reviewing offering documents, underlying underwriting and debt documents, and ancillary documents.
Drafts and reviews securities filings and registrations with respect to financing transactions.
Drafts and reviews press releases and periodic SEC filings with respect to debt disclosure.
Tracks and oversees compliance with securities and other laws applicable to financing transactions.
Tracks and oversees compliance with covenants in debt documents.
Understands the Company’s corporate structure and its interplay with debt covenants.
Provides legal support to the Treasury group with respect to derivative transactions, including rate or currency swaps or similar instruments used to hedge existing or new financing transactions.
Provides legal support to the Treasury group with respect to repurchases of the Company’s securities, including compliance with applicable laws and the Company’s governance documents.
Provides legal support to the Corporate Finance and Treasury groups with respect to Company policies and procedures related to those specialties, including interpretation of policies, overseeing compliance with policies, and providing legal advice on potential new policies and revisions to existing policies.
Provides legal support to Corporate Finance and Treasury as requested, including debt document interpretation, agreement review, and transaction analysis.
Manages internal and external expenses to the assigned group's annual budget.
Interprets laws, rulings, and regulations for corporation and keeps up to date with current developments in areas of responsibility.
Assists the Legal Corporate Group in various projects as requested.
Prepares and presents compliance and legal briefing to senior management.
Manages relationships with outside counsel.
Participates in development of plans and provides assistance to internal clients in response to newly passed legislation and/or regulations.
Skills/Abilities and Knowledge
Ability to read, write, speak and understand English
Legal research, analysis, and writing
Effective oral and written communication and advocacy skills
Strong negotiation skills
Ability establish strong working relationships internally and externally
Accounting and finance skills are required
Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public is required
Ability to work in a team-oriented environment while handling multiple projects/assignments under tight deadlines
Juris Doctor degree from an accredited law school; Admission to State Bar in which Attorney practices
